Item 7.01 Regulation FD Disclosure
On May 10, 2022, Citizens, Inc. (the “Company”) issued a press release announcing the stock repurchase program described in Item 8.01 of this Current Report on Form 8-K. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events
On May 10, 2022, the Company announced that its Board of Directors approved a share repurchase program authorizing the Company to repurchase up to $8 million of the outstanding shares of the Company's Class A common stock. The Company may purchase its Class A common stock from time to time on a discretionary basis through open market purchases, privately negotiated transactions or other means, including trading plans intended to qualify under Rule 10b5-1, in accordance with applicable federal securities laws and other applicable legal requirements, including, without limitation, Rule 10-b-18 of the Securities Exchange Act of 1934, as amended. Such purchases will occur at times and in amounts the Company deems appropriate based on factors such as the Company’s cash on hand, cash flows from operations, general market conditions and other factors. The Company is not obligated to acquire any particular amount of its Class A common stock. This program has no set termination date and may be suspended or discontinued by the Company’s Board of Directors at any time.
