Item 8.01.  Other Information

 

On December 29, 2020, the Company issued a press release announcing that one of its wholly owned subsidiaries entered into a Letter of Intent to acquire the assets of Infoseal LLC in Roanoke, Virginia, a copy of which is furnished herewith as Exhibit 99.1, with a closing expected effective the close of business December 31, 2020. The contemplated transaction was in fact signed and closed as of December 31, 2020.
