Item 8.01Other Events.
On November 16, 2021, American Express Company (“American Express”) announced the extension of the early participation date and preliminary results of its previously announced exchange offer pursuant to which it is offering to issue its new senior notes in exchange for any and all of the $2 billion aggregate principal amount of the outstanding 3.300% Senior Notes due May 3, 2027 issued by American Express Credit Corporation (“Credco”), a wholly-owned subsidiary of American Express, and Credco’s related consent solicitation. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
