On April 6, 2021, Lannett Company, Inc. (the “Company”) issued a press release announcing its intention to offer $350,000,000 aggregate principal amount of senior secured notes due 2026 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States to persons other than U.S. persons in reliance upon Regulation S under the Securities Act. In order to facilitate discussion with potential purchasers of the Notes, the Company entered into confidentiality agreements (the “Confidentiality Agreements”) with potential purchasers of the Notes, requiring the Company to publicly disclose the investor presentation provided to those potential purchasers upon the public announcement of the Notes offering (the “Cleansing Materials”). The Company is furnishing the Cleansing Materials as Exhibit 99.1 hereto. The disclosure herein is being made pursuant to the Confidentiality Agreements.
