Item 8.01.

Other Events.

On April 24, 2020, following Graham Corporation’s (the “Company”) entry into a promissory note (the “Promissory Note”) with JPMorgan Chase, N.A (“JPMorgan”) on April 9, 2020, which was disclosed in the Company’s original Current Report on Form8-K filed with the Securities and Exchange Commission on April 22, 2020, and pursuant to guidance issued on April 23, 2020 by the Small Business Administration in consultation with the Department of the Treasury, the Company instructed JPMorgan to repay in full the Promissory Note pursuant to the Paycheck Protection Program under the Coronavirus Aid, Relief, and Economic Security Act.
