Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 28, 2020, David Perez, resigned from the Board of Directors of Mesa Laboratories, Inc., the Audit Committee of the Board, and the Compensation Committee of the Board, effective immediately. Mr. Perez indicated that his resignation is due to his expected new responsibilities as Chairman of the Board of Directors of another company. Mr. Perez’s decision to resign from the Board was not the result of a disagreement with the Company on any matter relating to its operations, policies or practices.
The Board of Directors of Mesa Laboratories, Inc. appointed Jenny Alltoft to the Audit Committee effective immediately.
As a result of the forgoing changes, the members of the Audit Committee are now as follows: Evan Guillemin (Chair), John Schmieder, and Jenny Alltoft.
