Item 7.01 Regulation FD Disclosure.
On August 31, 2020, Indianapolis Power & Light Company (“IPL”), the principal subsidiary of IPALCO Enterprises, Inc. (“IPALCO”) and a subsidiary of The AES Corporation, announced that it has reached a settlement (the “Settlement Agreement”) with the United States Environmental Protection Agency, the United States Department of Justice and the Indiana Department of Environmental Management resolving, with respect to IPL’s four coal-fired generation units currently operating at the company’s Petersburg location, purported violations of the Clean Air Act and related requirements previously reported under the heading “New Source Review and Other CAA NOVs” in IPALCO’s 2020 periodic reports. The Settlement Agreement is subject to final review and approval by the U.S. District Court for the Southern District of Indiana, following a 30-day public comment period. A copy of IPL’s press release announcing the Settlement Agreement is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein. Such information is being furnished pursuant to Item 7.01 and shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
