The following are talking points made available by AT&T Inc. on June 21, 2021:
We’re creating an environment of opportunity with the Discovery Deal.
All aspects of the deal were carefully considered. Not just for shareholders, but the impact on employees, customers, and the long-term viability and sustainability of our business.
If AT&T and Time Warner did not come together, bringing their different strengths and abilities, we may not be in the position we are today. We’ve created significant value together – growing wireless by bundling media services and combining distribution and cloud capabilities to get HBO Max off the launch pad and quickly scaling.
This transaction greatly improves the future prospects for both AT&T and WarnerMedia. It allows both companies to focus resources at a time when they need investment dollars the most.
We expect to have the ability to enable incremental investments in 5G and fiber.
Content investment for Warner Bros. Discovery is also expected to grow to be among the highest in the industry.
Moving forward, setting up the capital structure differently allows us to create more value for our shareholders and attract more affordable capital for growth in both companies.
Unlocking the companies from each other will yield more value in aggregate over time and allow each to independently chase their most attractive opportunities.
The anticipated review period for the Discovery deal will be different from what we experienced in 2017-2018 for 3 reasons:

We are incentivized to continue building on WarnerMedia’s momentum while the transaction is pending. It is best for every party, including our shareholders, if our core business and WarnerMedia perform well during this time. As momentum grows, so does the value of this asset – putting us in a good position to deliver to our shareholders as we close this transaction.
At the point when WarnerMedia and Discovery come together, our shareholders will own 71% of the new company, and we want that equity to trade well.
To make that happen, we need a media company that’s delivering on the growth and customer relationships we’ve been working towards.
And we need to continue our momentum in wireless and our fiber broadband business so that investors recognize the full value of our communications assets.
Unlike 2017 when we had to hold on implementing our strategic decisions, we know the plan we need to execute.
