Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 1, 2021, Linda C. Bain was appointed to the Board of Directors (the “Board”) of VBI Vaccines Inc. (the “Company”), effective as of July 1, 2021, to serve for a term expiring at the next annual meeting of shareholders or until her successor is duly elected and qualified. Upon Ms. Bain’s appointment, Ms. Bain will succeed Joanne Cordeiro as a member of the audit committee of the Board.

On July 7, 2021, the Company issued a press release announcing the appointment of Ms. Bain. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.
