ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On July 16, 2019, Allen L. Leverett submitted his notice of resignation from the Board of Directors (the “Board”) of WEC Energy Group, Inc. (the “Company”), effective July 18, 2019. Mr. Leverett’s decision was personal, not the result of any disagreement with the Company.
In addition, as part of its ongoing director succession planning process already underway, on July 18, 2019, the Board elected Maria C. Green to the Board, effective October 1, 2019. Ms. Green is the retired Senior Vice President and General Counsel of Ingersoll-Rand plc. The Board has not yet appointed Ms. Green to any committees of the Board.
Ms. Green will be compensated according to the Company’s standard compensation program for non-employee directors as described in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 21, 2019. Ms. Green’s 2019 compensation will be prorated to reflect her three months of service as a director.
