ITEM 8.01.     OTHER EVENTS.

On November 22, 2021, Werner Enterprises, Inc., a Nebraska corporation, acquired 100% of the equity interests of NEHDS Logistics, LLC, based in Monroe, Connecticut. A copy of the press release announcing the acquisition is attached hereto as Exhibit 99.1.
