Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On March 20, 2020, the Board of Directors of PPG Industries, Inc. (the “Company”) amended the Company’s Bylaws, effective that day, to provide the Company with the ability to hold its annual meeting of shareholders by means of Internet or other electronic communications technology. The Board amended and restated Article I, Section 1.1 of the Bylaws in its entirety as follows:
Section 1.1 Annual Meetings. An annual meeting of the shareholders shall be held each year on such day as the Board of Directors of the Corporation (the “Board of Directors”) may designate, or, if not so designated, on the third Thursday in April if not a legal holiday, and if a legal holiday, then on the next business day following. Annual meetings shall be held at such location, within or without the Commonwealth of Pennsylvania, as designated by the Board of Directors. The Board of Directors shall have the right to determine that a meeting of shareholders be held solely by means of Internet or other electronic communications technology in the manner and to the extent provided by the Pennsylvania Business Corporation Law.
