Item 8.01. Other Events.
On May 3, 2023, CMS Energy Corporation (“CMS Energy”) issued a press release announcing the commencement of offers to purchase for cash up to $150,000,000 aggregate principal amount of outstanding debt securities issued by CMS Energy and Consumers Energy Company (“Consumers”), consisting of (1) Consumers’ 2.50% First Mortgage Bonds due 2060, of which $525,000,000 aggregate principal amount is outstanding, (2) Consumers’ 2.65% First Mortgage Bonds due 2052, of which $300,000,000 aggregate principal amount is outstanding, (3) Consumers’ 3.10% First Mortgage Bonds due 2050, of which $550,000,000 aggregate principal amount is outstanding, (4) Consumers’ 3.25% First Mortgage Bonds due 2046, of which $450,000,000 aggregate principal amount is outstanding, (5) CMS Energy’s 4.70% Senior Notes due 2043, of which $250,000,000 aggregate principal amount is outstanding, (6) Consumers’ 3.50% First Mortgage Bonds due 2051, of which $575,000,000 aggregate principal amount is outstanding, and (7) Consumers’ 3.75% First Mortgage Bonds due 2050, of which $300,000,000 aggregate principal amount is outstanding (the “Securities”).
