THIRD QUARTER RESULTS
Our 2021 third quarter results continued the strong performance of recent quarters. In the third quarter of 2021, Orrstown Financial Services, Inc. (the “Company”) reported net income of $7.2 million, which represents diluted earnings per share of $0.65. Net interest income declined as the pace of borrowers applying for forgiveness through the SBA Paycheck Protection Program (“PPP”) slowed relative to the prior quarter. Commercial loan balances, excluding PPP loans, increased 33% on an annualized basis as our lending team continues to draw from both their long-standing and newly developed relationships. At September 30, 2021, the Company had PPP loan balances of $259.9 million, net of deferred fees and costs, and $8.6 million in net deferred fees yet to be recognized to income over the remaining life of those loans. Expenses increased on a linked-quarter basis, as the Company hired top-flight talent attracted to a client-first approach to the business, which should allow Orrstown to remain on a strong growth trajectory. We also remain cautiously optimistic about our asset quality and believe that our conservative underwriting philosophy is the proper stance for long-term performance. Our level of nonperforming assets declined from $9.9 million at June 30, 2021 to $9.1 million at September 30, 2021. Just as importantly, the balance of COVID-19 related commercial and consumer loan deferrals fell from $3.9 million at June 30, 2021 to $0.3 million at September 30, 2021. The aforementioned strong loan originations during the third quarter necessitated a provision for loan losses of $365 thousand during the quarter despite the strong underlying credit trends.
DIVIDEND
In October 2021, the Board of Directors declared a cash dividend of $0.19 per common share, which represents an 11.8% increase over the dividend of $0.17 per share declared in the prior year quarter, and consistent with the cash dividend declared of $0.19 per common share in the previous quarter. Although we cannot guarantee the amount of future dividend payments, the Board of Directors understands the importance of the dividend to our shareholders and is committed to paying regular cash dividends.
