On July 17, 2019, the Board of Directors of Schlumberger Limited (the “Board”) adopted amended and restatedby-laws to remove the requirement that each quorum of the Board be constituted of a majority ofnon-U.S. citizens.
The amended and restatedby-laws became effective immediately upon their adoption by the Board. This description of the amendments to theby-laws is qualified in its entirety by reference to the text of the amended and restatedby-laws, a copy of which is included as Exhibit 3 to this Current Report onForm 8-K.
