Item 5.07 Submission of Matters to a Vote of Security Holders
On July 1, 2021, Premier Financial Bancorp, Inc. (“Premier”) held a special meeting of shareholders. The results of voting on the resolutions set forth in the special meeting proxy statement follow:

(b) | Certain matters voted upon at the meeting and the votes cast with respect to such matters are as follows: |
(i) To approve a proposal to adopt and approve the Agreement and Plan of Merger dated as of March 26, 2021, by and between Peoples Bancorp Inc. and Premier Financial Bancorp, Inc.
