Section 2 – Financial Information
Item 2.01 Completion of Acquisition or Disposition of Assets.
On November 7, 2022, the Partnership sold a Family Dollar store in Mobile, Alabama to Mohammed Salim Ismail, an unrelated third party. The Partnership received net cash proceeds of approximately $340,000 for the property, which resulted in a net loss of approximately $35,000.

(a) Financial statements of businesses acquired – Not Applicable.
(b) Pro forma financial information – A limited number of pro forma adjustments are required to illustrate the effects of the transaction on the balance sheet and income statement. The following narrative description is furnished in lieu of pro forma statements. Assuming the Partnership had sold the property on January 1, 2021:
The Partnership's Investments in Real Estate would have been reduced by $828,000 and its Current Assets (cash) would have increased by $340,000 and Partners’ Capital would have decrease by $488,000.
For the year ended December 31, 2021, Income from Operations would have decreased $45,168, representing a decrease in rental income of $119,926, a decrease in depreciation expense of $69,124 and a decrease in property management expenses of $5,634. For the six months ended June 30, 2022, Income from Operations would have decreased $23,897, representing a decrease in rental income of $59,963, a decrease in depreciation expense of $34,564 and a decrease in property management expenses of $1,502.
The net effect of these pro forma adjustments would have caused Net Income to decrease from $634,184 to $589,016 and from $739,038 to $715,141, which would have resulted in Net Income of $27.33 and $37.64 per Limited Partnership Unit outstanding for the year ended December 31, 2021 and the six months ended June 30, 2022, respectively.

(d) Exhibit 10.1 – Purchase and Sale Agreement dated October 7, 2022 between the Partnership and Mohammed Salim Ismail, relating to the property at 6510 Ziegler Blvd, Mobile, Alabama.
