Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On August 10, 2021, the Board of Directors (the “Board”) of Century Casinos, Inc. (the “Company”) approved and adopted a new Code of Business Conduct and Ethics (the “Code”), to replace the Company’s existing Code of Business Conduct and Ethics. The Code is applicable to all of the Company’s directors, officers and employees, agents and representatives, including consultants. The Code was adopted to reflect what the Company considers to be current best practices and basic principles, and promote awareness of ethical issues that covered persons may encounter and set forth how to address ethical issues that may arise. The adoption of the Code did not relate or result in any waiver, explicit or implicit, of any provision of the prior code.
