EXPLANATORY NOTE
This Registration Statement is being filed for the purpose of registering the offer and sale of an additional 5,500,000 Common Shares that may be issued pursuant to the Invesco Ltd. 2010 Global Equity Incentive Plan (ST), as amended and restated on October 10, 2017 and as further amended on May 9, 2019 (the “Plan”). The Company previously registered the offer and sale of 3,000,000 Common Shares under the Plan pursuant to a FormS-8 filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 18, 2010 (FileNo. 333-166919).

Pursuant to its Third Amended and RestatedBye-Laws, the Company will indemnify its officers, directors and employees to the fullest extent permitted by Bermuda law. The Company maintains such policies of insurance on its officers and directors.
