Other Events.
On September 15, 2020, The Southern Company (the “Company”) entered into Underwriting Agreements covering the issue and sale of $1,250,000,000 aggregate principal amount of its Series 2020B 4.00% Fixed-to-Fixed Reset Rate Junior Subordinated Notes due January 15, 2051 (the “Series 2020B Junior Subordinated Notes”) and $750,000,000 aggregate principal amount of its Series 2020C 4.20% Junior Subordinated Notes due October 15, 2060 (the “Series 2020C Junior Subordinated Notes”). Both the Series 2020B Junior Subordinated Notes and the Series 2020C Junior Subordinated Notes were registered under the Securities Act of 1933, as amended, pursuant to the shelf registration statement (Registration No. 333-223128) of the Company.
