Item 4.01. Changes in Registrant’s Certifying Accountant.
(a) On September 25, 2008, the Audit Committee of the Board of Directors of DTE Energy Company (“DTE”) dismissed Deloitte & Touche LLP (“Deloitte”) as DTE’s and The Detroit Edison Company’s (“Detroit Edison”) independent registered public accounting firm. The dismissal is the result of a competitive proposal process and is effective as of the date of the completion of the audit services for the fiscal year ending December 31, 2008.
The reports of Deloitte on the consolidated financial statements of DTE and Detroit Edison for the years ended December 31, 2007 and December 31, 2006 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles.
During DTE’s and Detroit Edison’s two most recent fiscal years ended December 31, 2007 and 2006 and from January 1, 2008 through September 25, 2008, there were no disagreements with Deloitte on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to Deloitte’s satisfaction, would have caused Deloitte to make reference to the subject matter of such disagreements in connection with its reports on DTE’s and Detroit Edison’s consolidated financial statements for such years.
During DTE’s and Detroit Edison’s two most recent fiscal years ended December 31, 2007 and 2006 and from January 1, 2008 through September 25, 2008, there were no “reportable events” as defined under Item 304(a)(1)(v) of Regulation S-K.
DTE and Detroit Edison have provided Deloitte with a copy of this Form 8-K prior to its filing with the Securities and Exchange Commission (“SEC”) and requested Deloitte to furnish them with a letter addressed to the SEC stating whether or not it agrees with the above statements. A copy of Deloitte’s letter dated October 1, 2008 is attached hereto as Exhibit 16.1 to this Form 8-K.
Also on September 25, 2008, the Audit Committee selected PricewaterhouseCoopers LLP (“PwC”) as DTE’s and Detroit Edison’s independent registered public accounting firm beginning with the fiscal year ending December 31, 2009, subject to the execution of a formal engagement letter.
