On December 16, Espey Mfg. & Electronics Corp. (the "Company") issued a press
release, a copy of which is attached to this Current Report on Form 8-K as
Exhibit 99.1 and incorporated herein by reference, regarding the death of
Seymour Saslow. Mr. Saslow, 88, was a member of the board of directors since
1992.
