The Registrant hereby represents that it is unable to file its Annual Report
on Form 10-KSB for the period ended March 31, 2001 without unreasonable effort
or expense because accounting and management issues relating to the termination
of a technology licensing agreement have resulted in delays in providing
information to our accountants, as specified in the accountant's statement
attached as an exhibit hereto.
